1. Acceptance of Terms

By accessing or using IntelFactor's services, you agree to be bound by these Terms. If you are using the services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

IntelFactor provides:

• Automated visual defect detection using edge AI
• Real-time quality metrics and analytics dashboards
• Root cause analysis and process correlation
• Dashboard and reporting tools
• API access for system integration

3. Account Registration

To use our services, you must:

• Provide accurate and complete registration information
• Be at least 18 years old or have legal authority to enter contracts
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access

You are responsible for all activities that occur under your account.

4. Subscription and Payment

Our services are offered under the following subscription tiers:

• Subscriptions are billed monthly or annually in advance
• Fees are non-refundable except as required by applicable law
• We will provide 30 days' notice of any price changes
• Late payments may result in service suspension
• All fees are exclusive of applicable taxes

5. Data Ownership and Rights

• Your Data: You retain all rights to your data, including inspection images, defect results, and quality metrics
• Limited License: You grant IntelFactor a limited license to process your data solely for providing and improving the services
• Aggregated Data: We may use anonymized and aggregated data to improve our AI models, with your consent. You can opt-out at any time
• Our IP: IntelFactor retains all rights to the platform, models, algorithms, software, and documentation

6. Acceptable Use

You agree not to:

• Use the services for any illegal purpose
• Reverse engineer, decompile, or disassemble the platform
• Attempt to gain unauthorized access to systems or data
• Interfere with the service or other users' access
• Share account credentials with unauthorized parties
• Use the services to develop competing products
• Resell the services without written authorization

• We warrant that our services will perform substantially as documented
• Services are provided “AS IS” without additional warranties
• Defect detection is not 100% accurate and should not be relied upon as the sole quality control measure
• IntelFactor is not a replacement for human quality control

9. Limitation of Liability

IntelFactor's total liability is capped at the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, consequential, incidental, or punitive damages arising from use of the services.

10. Indemnification

You agree to indemnify IntelFactor against claims arising from your use of the services, your violation of these Terms, or your infringement of any third-party rights.

11. Term and Termination

• Subscriptions auto-renew unless cancelled 30 days before the renewal date
• You may terminate your account at any time with written notice
• Either party may terminate for material breach after a 30-day cure period
• Upon termination, you may export your data within 30 days

12. Governing Law and Disputes

These Terms are governed by the laws of the State of California. Any disputes will be resolved through binding arbitration in Santa Barbara, California. You waive any right to participate in class action lawsuits.

13. Changes to Terms

We may modify these Terms with at least 30 days' notice for material changes. Continued use of the services after the effective date constitutes acceptance of the modified Terms.

14. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and IntelFactor
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect
• Waiver: Failure to enforce any right does not constitute a waiver
• Assignment: You may not assign these Terms without our written consent
• Force Majeure: Neither party is liable for delays caused by events beyond reasonable control
